Default Codes P0720 P0431 oxygen and oss sensor

Got these codes from my 2002 Sedona. Took out the back sensor and say that it was sooty. Is this the bank 2 sensor? It was behind the fork in the exhaust pipe after the first mesh-like bulb. I am hoping that if I just replace this sensor the car will be fixed. I have a chilton asian car maunual. It states the exact problem that I am having. After driving for a while the car locks (loud thunk) into 3rd until restarted.
It suggested that the OSS (Output Shaft Speed Sensor could be stuck in open position or faulty, where is this? I couldnt find it in the manual.
